woii reserves the right, at its sole discretion, to change, modify, add, or remove portions of these Terms and Conditions, at any time without prior notice. It is your responsibility to check these Terms and Conditions periodically for changes whenever you use or access the site. Your continued use of the Site following the posting of changes will mean that you accept and agree to the changes. As long as you comply with these Terms and Conditions, woii grants you a personal, non-exclusive, non-transferable, limited privilege to enter and use the Site. If you do not agree to these Terms, please do not use or access the Site. Your use of the Site constitutes your agreement to follow and be bound by these Terms.

By accepting these terms and conditions through your use of the website, you certify that you are 18 years of age or older. If you are under the age of 18 but at least 13 years of age, you may use this website only under the supervision of a parent or legal guardian who agrees to be bound by these terms and conditions.

By making a purchase on the Site, you understand and agree that we may send you SMS communications in order to complete a sale, update you on the order or delivery status, or provide you with other information related to a purchase. woii has the right but not the obligation to monitor and edit all Content provided by users.

In addition, Content found on or through this Service are the property of woii or used with permission. You may not distribute, modify, transmit, reuse, download, repost, copy, or use said Content, whether in whole or in part, for commercial purposes or for personal gain, without express advance written permission from us.

Accuracy of Information on the Site
We do our best to ensure that information on the Site is complete, accurate and current. Despite our efforts, however, information on the Site may occasionally be inaccurate, incomplete or out of date. All specifications, products, descriptions,  and prices of products on the Site are subject to change at any time without prior notice. We make all reasonable efforts to accurately display the attributes of our products, including the applicable colors. However, the actual color you see will depend on your computer system, monitor, mobile devices, tablet, or any other display devices, and we cannot guarantee that your device will accurately display such colors. We do not warrant the accuracy or completeness of the information, content, or materials provided through the Site. 

The inclusion of any products or services on the Site at a particular time does not imply or warrant that these products or services will be available at any time. We reserve the right to discontinue any product or service at any time.

Price, Trade, and Other Law

Price and Payment. All prices are correct at the time of entering the information on to the system. If for some reason we are unable to ship your goods, the value of the items that are not shipped will be refunded to your wallet in your User Account or to the original method of payment, whichever you so select.

All prices are exclusive of delivery charges. The total cost of the order is the price of the products ordered plus the delivery charge.

Prices may change at any time, but (other than as set out above) changes shall not affect the orders for which we have sent an Order Confirmation.

Shipping & Delivery. The Company ships from different warehouses in different countries. For orders with more than one item, we may split your order into several packages according to stock levels at our own discretion. We aim to deliver orders as quickly as possible. However, sometimes during busy sale periods or other occasions, deliveries may take longer. If you have any questions regarding shipping and delivery, please contact our Customer Services Platform.

Contracting party
When you are placing an order on the Site, you are entering into an agreement with woii ltd.

Shipping Limitation
When an order is placed, it will be shipped to an address designated by you as long as that shipping address is compliant with the shipping restrictions contained on the Site. All purchases from the Site are made pursuant to shipment conditions, by accepting these terms and conditions through your use of the Site. You are responsible for contacting woii Customer Service regarding any claims for damaged and/or lost shipments.

Confirmation of Orders
While it is our practice to confirm orders by email, the receipt of an email order confirmation does not constitute our acceptance of an order. We reserve the right, without prior notice, to limit the order quantity on any product and/or to refuse service to any customer. We also may require verification of information prior to the acceptance and/or shipment of any order. 

Cancellation or Refusal of Orders
We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event we make a change to or cancel an order, we will attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors.

Merchandise & Availability
The merchandise sold through the Site is intended to comply with some country laws and regulations. Be advised that other countries may have laws, regulatory requirements, and product safety requirements that are different than another county.

Merchandise availability on our Site is not guaranteed as it may be low in stock. If merchandise is not available by the time your order processes, we will notify you of this via e-mail. You can always verify availability by contacting Customer Service. You will receive a shipping confirmation e-mail once your items have shipped.

Purchases

If you wish to purchase any product or service made available through Service (“Purchase”), you may be asked to supply certain information relevant to your Purchase including but not limited to, your credit or debit card number, the expiration date of your card, your billing address, and your shipping information.

You represent and warrant that:

(i) you have the legal right to use any card(s) or other payment method(s) in connection with any Purchase; and that (ii) the information you supply to us is true, correct and complete.

We may employ the use of third party services for the purpose of facilitating payment and the completion of Purchases. By submitting your information, you grant us the right to provide the information to these third parties subject to our Privacy Policy.

We reserve the right to refuse or cancel your order at any time for reasons including but not limited to: product or service availability, errors in the description or price of the product or service, error in your order or other reasons.

We reserve the right to refuse or cancel your order if fraud or an unauthorized or illegal transaction is suspected.

Contests, Sweepstakes, and Promotions

Any contests, sweepstakes or other promotions (collectively, “Promotions”) made available through Service may be governed by rules that are separate from these Terms of Use. If you participate in any Promotions, please review the applicable rules as well as our Privacy Policy. If the rules for a Promotion conflict with these Terms of Use, Promotion rules will apply.

Subscriptions

Some parts of the Service are billed on a subscription basis (referred to as “Subscriptions”). When you purchase a Subscription, billing will occur in advance on a recurring and periodic basis known as the “Billing Cycle”. The frequency of the Billing Cycle will depend on the type of subscription plan you choose.

Unless you or woii cancels it, your Subscription will automatically renew at the end of each Billing Cycle under the exact same conditions. You can cancel the renewal of your Subscription either through your online account management page or by contacting the woii customer support team at contact-us@woii.com.

A valid payment method is required to process the payment for your subscription. You shall provide woii with accurate and complete billing information that may include but not limited to full name, address, state, postal or zip code, telephone number, and a valid payment method information. By submitting such payment information, you automatically authorize woii to charge all Subscription fees incurred through your account to any such payment instruments.

Should automatic billing fail to occur for any reason, woii reserves the right to terminate your access to the Service with immediate effect.

Free Trial

woii may, at its sole discretion, offer a Subscription with a free trial for a limited period of time (“Free Trial”).

To sign up for a Free Trial, you may need to provide your billing information. If you do so, please note that we will only charge you for the applicable subscription fees if you don’t cancel your subscription before the end of the Free Trial period. During the Free Trial period, you will not be charged for anything. However, if you choose to continue beyond the Free Trial period, we will automatically charge you the applicable Subscription fees for the type of Subscription you have selected

At any time and without prior notice, woii reserves the right to (i) modify Terms of Use of Free Trial offer, or (ii) cancel such Free Trial offer, it is your responsibility to check these Terms and Conditions periodically for changes whenever you use or access the site

Fee Changes

woii, in its sole discretion and at any time, may modify Subscription fees for the Subscriptions. Any Subscription fee change will become effective at the end of the then-current Billing Cycle.

woii will provide you with a reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective.

Your continued use of Service after Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.

Refunds Timeline

Reviews, Comments and Submissions
From time to time, we may allow users to post comments, suggestions, ideas, materials and other submissions (“User Comments”) on the Site. These User Comments are provided on a non-confidential basis and, by submitting User Comments, you are granting us an irrevocable and unrestricted license to fully exploit such User Comments. You agree that no User Comments submitted by you to the Site will violate any right of any third party, including copyright, trademark, privacy or other personal or proprietary rights. You further agree that no User Comments submitted by you to the Site will be or contain libelous or otherwise unlawful, abusive or obscene material. You are and shall remain solely responsible for the content of any User Comments you make.
Although User Comments may be posted on the Site, the posting of those submissions does not constitute our endorsement of such User Comments. We are not responsible or liable for any claim, including, without limitation, loss or injury to real, tangible, or intellectual property, violations of personal privacy or privacy rights, actual, consequential or punitive damages, personal injury, or wrongful death made in connection with User Comments.

We reserve the right to edit or remove any User Comments that we deem to be in violation of the above or any other reason we may think unreliable or fraudulent without notice.

You may use Service only for lawful purposes and in accordance with Terms. You agree not to use Service:

6. To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of Service, or which, as determined by us, may harm or offend Company or users of Service or expose them to liability.

Additionally, you agree not to:

1. Use Service in any manner that could disable, overburden, damage, or impair Service or interfere with any other party’s use of Service, including their ability to engage in real time activities through Service.

10. Analytics; We may use third-party Service Providers to monitor and analyze the use of our Service.
11. No Use By Minors

By accessing or using Service, you warrant and represent that you are at least eighteen (18) years of age and with the full authority, right, and capacity to enter into this agreement and abide by all of the terms and conditions of Terms. You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you, without appropriate authorization. You may not use as a username any name that is offensive, vulgar or obscene.

We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders in our sole discretion.

Your use of the site is at your risk. the information, materials, content and services provided on or through the site are provided “as is” without any warranties of any kind including warranties of merchantability, fitness for a particular purpose, or non-infringement of intellectual property.  with respect to our products, there are no warranties, express or implied, which extend beyond the description of the merchandise contained on our order confirmation.  the foregoing exclusions of implied warranties do not apply to the extent prohibited by law.  please refer to your local laws for any such prohibitions.
